Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you") and FounderGem LLC, which operates RankGem (the "Service", available at https://rankgem.app). By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. Your account

You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Notify us promptly at support@rankgem.app of any unauthorized use. You are responsible for the accuracy of information you provide.

3. The Service

RankGem is a software platform that helps you research, generate, optimize, publish, interlink, and track content for websites you own or are authorized to manage. The Service uses artificial intelligence and third-party data sources. We may add, change, or remove features at any time.

4. Subscriptions, billing, and renewals

Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees, including taxes, on each renewal until you cancel.

• Plans and limits. Each plan includes a monthly allowance of AI generations and other limits described at checkout and on our pricing page. Limits reset each billing period and do not roll over.
• Auto-renewal. Subscriptions renew automatically for the same term at the then-current price unless you cancel before the renewal date.
• Price changes. We may change prices; changes apply to renewals after we give you reasonable notice. Your current rate is not locked once you cancel.
• Cancellation. You may cancel anytime from your billing settings. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not provide prorated refunds for partial periods except as stated in our Refund Policy or required by law.

5. AI-generated content

The Service produces content using AI models. You understand and agree that:

• AI output may be inaccurate, incomplete, outdated, or similar to content generated for other users. You are responsible for reviewing, editing, fact-checking, and approving all output before publishing or relying on it.
• We make no guarantee of search rankings, traffic, indexing, revenue, or any specific result. SEO outcomes depend on many factors outside our control, including search-engine and platform algorithms.
• As between you and us, you own the content you generate and publish, subject to the rights of the underlying AI providers and applicable law. You are responsible for ensuring your content does not infringe third-party rights or violate any law or platform policy.

6. Connected accounts and third-party services

The Service can connect to third-party platforms you authorize — including WordPress, GitHub, Gitea, Google (Search Console, indexing), and social and publishing networks. When you connect an account, you authorize RankGem to access and act on that account on your behalf (for example, to publish content or read analytics) using the permissions you grant. You are responsible for complying with the terms of each connected platform. We are not responsible for third-party services, and your use of them is governed by their terms.

7. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. Among other things, you may only publish to properties you own or are authorized to manage, and you may not use the Service to create spam, infringing, deceptive, or unlawful content.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by FounderGem LLC and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You retain ownership of content and data you provide; you grant us a license to host, process, and transmit that content solely to provide and improve the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR PRODUCE ANY PARTICULAR RESULT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDERGEM LLC AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless FounderGem LLC from any claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your connected accounts, or your violation of these Terms or any law or third-party right.

12. Suspension and termination

We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, or to protect the Service, other users, or third parties. You may stop using the Service at any time. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.

13. Changes to these Terms

We may update these Terms. If we make material changes, we will provide reasonable notice (for example, by email or in-product notice). Your continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The exclusive venue for disputes is the state and federal courts located in Wyoming, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
